Terms of Service

Welcome to AskScout.ai ("AskScout," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the AskScout platform, including our website at askscout.ai, our AI-powered prospecting tools, network analysis features, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you ("you," "User," or "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" refers to that organization.

AskScout.ai is part of Vinly Technology ("Vinly"), which is the parent company of AskScout and the legal entity responsible for operating the Service.

1. Definitions

"Account" means the user account you create to access the Service.

"Authorized Users" means individuals within your organization whom you invite to join your AskScout workspace, including team members whose professional networks may be searched.

"Connected Accounts" means third-party accounts (including Google Workspace and LinkedIn accounts) that you authorize AskScout to access via OAuth or similar authentication protocols, including connections facilitated through third-party integration providers such as Unipile.

"Customer Data" means all data, content, and information that you or your Authorized Users upload, submit, or make accessible to the Service, including data from Connected Accounts.

"Network Graph" means the weighted, vectorized representation of your professional relationships generated by the Service through analysis of your Connected Account data.

"Prospect Intelligence" means the information gathered by the Service through web scraping and public data analysis about potential business prospects.

"Service" means the AskScout.ai platform, including the AI chat interface, web research tools, network analysis features, warm introduction facilitation, and all related functionality.

2. Description of the Service

AskScout is a B2B prospecting platform that combines AI-powered web research with professional network analysis to help users identify and connect with potential business prospects through warm introductions. The Service includes the following core capabilities:

AI Chat Interface: Input an Ideal Customer Profile (ICP) or description of a target prospect. The Service searches the web in real time, generating structured criteria tables and verifying prospects against your specifications using web intelligence.

Network Graph Analysis: With your explicit authorization, the Service analyzes your Gmail messages, Google Calendar events, and Google Contacts to build a weighted, vectorized network graph. This graph maps your professional relationships based on engagement frequency, meeting history, and communication patterns to determine relationship strength.

Team Network Search: Invite team members to connect their accounts, enabling 1st and 2nd degree network searches across your entire organization's professional relationships.

Warm Introduction Facilitation: When a prospect is identified within your network, the Service drafts introduction request emails that you must review and explicitly approve before any message is sent on your behalf.

Hybrid Search: Choose between network-only search, web-only search, or a combined approach for each prospecting query.

3. Account Registration and Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. To create an Account, you must provide accurate, current, and complete registration information and keep it updated. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You must notify us immediately at kris@vinly.co if you suspect unauthorized access to your Account.

You may invite Authorized Users to your workspace. You are responsible for ensuring that each Authorized User complies with these Terms. Each Authorized User must independently consent to the data access required for network analysis.

4. Google API Integration and Scopes

4.1 Scopes Requested

To provide network analysis and warm introduction features, AskScout requests access to the following Google API scopes upon your explicit authorization:

Gmail (Read-Only — gmail.readonly): Used to analyze email metadata (sender, recipient, timestamps, subject lines) to map communication frequency and relationship strength. AskScout does NOT read, store, or process the body content of your emails.

Gmail (Send — gmail.send): Used exclusively to send warm introduction request emails that you have explicitly reviewed and approved. No email is ever sent without your affirmative, per-message consent.

Google Contacts (Read-Only — contacts.readonly): Used to identify and map your professional contacts for network graph construction and to match prospects to people you already know.

Google Calendar (Read-Only — calendar.events.readonly): Used to analyze meeting history (attendees, frequency, recurrence) to determine relationship strength and identify high-value professional connections.

4.2 Google API Services User Data Policy Compliance

AskScout's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

  • We only use Google user data to provide and improve the user-facing features of AskScout that are prominently visible in the application interface.
  • We do not transfer Google user data to third parties except as necessary to provide the Service, for security purposes, or to comply with applicable law.
  • We do not use Google user data for advertising, marketing to third parties, or any purpose unrelated to the Service.
  • Human access to Google user data is restricted to cases where you have given affirmative consent, for security investigations, or to comply with law.
  • We do NOT use Google user data to train artificial intelligence or machine learning models.
  • We do NOT sell, rent, lease, or otherwise commercially distribute Google user data to any third party under any circumstances.

4.3 Revoking Access

You may revoke AskScout's access to your Google data at any time through your Google Account security settings (myaccount.google.com/permissions) or through the AskScout dashboard. Upon revocation, we will cease accessing your Google data and delete cached Google data in accordance with Section 11 (Data Retention and Deletion).

5. LinkedIn Integration via Unipile

5.1 Overview

AskScout offers optional LinkedIn outreach features — including sending connection requests and direct messages — through a third-party integration provider called Unipile. By connecting your LinkedIn account through this feature, you authorize Unipile to act on your behalf within the limits you configure in AskScout.

5.2 How It Works

When you connect your LinkedIn account, you authenticate directly with LinkedIn through Unipile's secure hosted authentication wizard. AskScout does not receive or store your LinkedIn password. Unipile maintains the authenticated session and proxies API requests on your behalf.

5.3 Rate Limits and Account Safety

LinkedIn enforces strict limits on automated actions. Exceeding these limits may result in warnings, temporary restrictions, or permanent suspension of your LinkedIn account. You use this feature at your own risk. AskScout enforces conservative daily and weekly limits (below LinkedIn's stated maximums) and introduces randomized delays between actions to reduce detection risk. However, we cannot guarantee that LinkedIn will not flag or restrict your account.

5.4 Your Responsibilities

  • You must use only a genuine LinkedIn account that you own. Fake or shared accounts are prohibited and significantly increase the risk of suspension.
  • You are solely responsible for the content of connection request notes and messages sent through this feature.
  • You must comply with LinkedIn's User Agreement and Professional Community Policies.
  • You must not use this feature to send unsolicited bulk messages, spam, or content that violates any applicable law.

5.5 Unipile's Role and Privacy

Unipile is an independent third-party service provider. By using this feature, you also agree to Unipile's Terms of Service and Privacy Policy. Unipile may process your LinkedIn session data, profile information, and messaging activity to provide the integration. AskScout is not responsible for Unipile's data handling practices beyond our contractual obligations with them.

5.6 Disconnecting

You may disconnect your LinkedIn account at any time from the AskScout Integrations page. Upon disconnection, AskScout will cease all LinkedIn actions on your behalf and delete the stored Unipile account reference. To fully revoke Unipile's access, you should also change your LinkedIn password or review active sessions in your LinkedIn security settings.

5.7 Assumption of Risk

By using the LinkedIn integration, you expressly acknowledge and accept the following risks:

  • Account restrictions: LinkedIn may at any time restrict, temporarily suspend, or permanently ban your account for automated activity, regardless of whether such activity falls within LinkedIn's stated limits. Detection algorithms change without notice.
  • Data loss: A LinkedIn account restriction may result in the loss of connections, message history, profile visibility, and other data stored on LinkedIn.
  • Third-party service changes: Unipile's API, rate limits, or authentication methods may change at any time, which could temporarily or permanently disrupt the integration.
  • No guaranteed deliverability: AskScout cannot guarantee that connection requests or messages will be delivered, seen, or accepted by recipients.

5.8 Limitation of Liability for LinkedIn Integration

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASKSCOUT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE LINKEDIN INTEGRATION, INCLUDING BUT NOT LIMITED TO:

  • Restrictions, suspensions, or termination of your LinkedIn account.
  • Loss of LinkedIn connections, messages, reputation, or business opportunities.
  • Actions taken by LinkedIn, Unipile, or any other third party in response to automated activity on your account.
  • Interruption, modification, or discontinuation of the Unipile integration service.
  • Any damages resulting from unauthorized access to or alteration of your LinkedIn data through the integration.

You agree to indemnify and hold harmless AskScout from any claims, damages, or expenses arising from your use of the LinkedIn integration feature, including any violation of LinkedIn's terms or policies.

6. User Obligations and Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with all applicable laws and regulations. You shall not:

  • Use the Service to send unsolicited bulk emails, spam, or messages that violate the CAN-SPAM Act, GDPR, or other applicable anti-spam legislation.
  • Attempt to reverse engineer, decompile, disassemble, or derive source code from the Service.
  • Use the Service to harass, stalk, threaten, or intimidate any person.
  • Scrape, crawl, or otherwise extract data from the Service for unauthorized purposes.
  • Share your Account credentials or allow unauthorized persons to access the Service through your Account.
  • Use the Service in a manner that competes directly with AskScout or to build a competing product.
  • Circumvent, disable, or interfere with security-related features of the Service.
  • Use the Service to facilitate surveillance, discriminatory profiling, or any activity that violates the privacy rights of individuals.

7. Data Ownership and Intellectual Property

7.1 Your Data

You retain all rights, title, and interest in your Customer Data. AskScout does not claim ownership of any data you provide or that is accessed through your Connected Accounts. You grant AskScout a limited, non-exclusive, revocable license to access, process, and analyze your Customer Data solely for the purpose of providing and improving the Service for you.

7.2 Our Intellectual Property

AskScout retains all rights, title, and interest in the Service, including all software, algorithms, network graph technology, user interfaces, designs, trademarks, and documentation. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein. The network graph algorithms, relationship scoring methodologies, and AI models are proprietary to AskScout.

7.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Service, you grant AskScout an irrevocable, perpetual, royalty-free license to use such feedback for any purpose without obligation to you.

8. Explicit Data Use Restrictions

AskScout makes the following binding commitments regarding your data:

  • No AI/ML Training: We do NOT use your Customer Data, including any data obtained from Google APIs, to train, fine-tune, or improve any artificial intelligence models, machine learning algorithms, or large language models — whether our own or any third party's.
  • No Data Sales: We do NOT sell, rent, lease, license, or otherwise commercially transfer your Customer Data to any third party. Ever. Under any circumstances.
  • No Advertising: We do NOT use your data for advertising purposes, do not share your data with advertisers, and do not serve targeted advertisements based on your data.
  • No Data Brokering: We do NOT provide your data to data brokers, analytics companies, or any third-party data aggregation services.
  • No Cross-User Data Sharing: Your network data is never shared with, made accessible to, or combined with data from other AskScout customers outside of your authorized workspace team.

9. Subscription Plans, Billing, and Payments

9.1 Plans and Pricing

The Service is offered through subscription plans as described on our pricing page. Pricing is subject to change with at least thirty (30) days' written notice before your next billing cycle. Continued use after a price change constitutes acceptance.

9.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except as expressly stated herein or required by applicable law.

9.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. We will notify you before any charges are incurred.

9.4 Taxes

All fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and governmental assessments arising from your use of the Service.

10. Team Features and Authorized User Consent

The team network search feature allows you to invite colleagues to connect their Google accounts to your AskScout workspace. Each team member must independently authenticate and grant explicit OAuth consent for their own Google data. You may not connect another person's accounts on their behalf. Each Authorized User retains full control over their connected data and may revoke access at any time. The account administrator can view aggregated network insights but cannot access the raw email content, calendar details, or contact records of other team members.

11. Data Retention and Deletion

We retain your Customer Data only for as long as necessary to provide the Service and as described in our Privacy Policy. Upon account termination or your written request, we will delete or anonymize your Customer Data within thirty (30) days, except where retention is required by law. Google API data that is cached for network graph generation will be deleted within thirty (30) days of OAuth revocation or account deletion. You may request immediate deletion of your data at any time by contacting kris@vinly.co.

12. Service Availability and Disclaimer

We strive to maintain high availability but the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. Prospect intelligence gathered from the web is provided for informational purposes and may not be complete, accurate, or current. You are responsible for independently verifying any information before relying on it for business decisions.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASKSCOUT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ASKSCOUT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ASKSCOUT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

14. Indemnification

You agree to indemnify, defend, and hold harmless AskScout and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights; or (d) any content or data you provide through the Service.

15. Termination

15.1 By You

You may terminate your Account at any time by canceling your subscription through the Service dashboard or by contacting kris@vinly.co. Termination takes effect at the end of your current billing period.

15.2 By AskScout

We may suspend or terminate your Account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will provide reasonable notice where possible. Upon termination, your right to access the Service ceases immediately.

15.3 Effect of Termination

Upon termination: (a) all licenses granted to you under these Terms terminate; (b) you must cease all use of the Service; (c) we will delete your Customer Data in accordance with Section 11; (d) any outstanding fees become immediately due; (e) Sections 6, 7, 12, 13, 15, 16, and 17 survive termination.

16. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the State of Delaware. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You may opt out of this arbitration clause by sending written notice to kris@vinly.co within thirty (30) days of first accepting these Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and AskScout regarding the Service and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign these Terms without our prior written consent. AskScout may assign these Terms in connection with a merger, acquisition, or sale of assets upon notice to you.

18.5 Force Majeure

AskScout shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet service disruptions.

18.6 Modifications

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least thirty (30) days before they take effect. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.

18.7 Notices

All notices to AskScout should be sent to kris@vinly.co. Notices to you will be sent to the email address associated with your Account.

18.8 Email Communications

By creating an Account, you agree to receive transactional and service-related emails from AskScout, including account confirmations, security alerts, and billing notifications. You may also receive the following categories of optional emails:

  • Onboarding emails: A series of product guidance emails sent during your first days on the platform to help you get started (e.g., connecting Gmail, running your first search, inviting team members).
  • Weekly digest: A summary of your Scout activity, including searches performed and warm paths found.
  • Product updates: Notifications about new features, improvements, and tips for getting more from Scout.
  • Newsletter: Occasional content about B2B prospecting, warm introductions, and professional networking.

Each category of optional email includes an unsubscribe link that lets you opt out of that specific category without affecting other email types. You can also manage your email preferences through the unsubscribe preference center linked in every email. Transactional emails (such as password resets, security alerts, and billing receipts) cannot be unsubscribed from as they are essential to operating your Account.

All marketing and product emails are delivered through SendGrid, our third-party email service provider. SendGrid processes your email address solely for the purpose of delivering emails on our behalf and is bound by data processing agreements that prohibit use of your data for any other purpose.
